Michael Börnicke resigns as CEO of Premiere AG

Munich, September 10, 2008. Change in the top management of Premiere AG: The current CEO Michael Börnicke has today asked the Supervisory Board for an early release from his contract and to accept his immediate resignation as CEO of Premiere AG. The Supervisory Board has accepted his request. With immediate effect, the Supervisory Board has seconded Mark Williams into the Managing Board and mandated him as CEO of Premiere AG. During this period, he will not serve as a Supervisory Board member. Williams is currently Chief Financial Officer, Europe and Asia of News Corporation as well as non-executive Director on the Board of Sky Italia, and has so far been Supervisory Board Member of Premiere AG.

Michael Börnicke: “For personal reasons, I have decided to resign as CEO of Premiere AG. In the last months, the management has set the course to get Premiere back to a long-term, sustained growth development.”

Mark Williams: “I am pleased to accept the new responsibility as CEO of Premiere AG, which came unexpectedly. Biography of Mark Williams
Based in London, Mark Williams is Chief Financial Officer, Europe and Asia, News Corporation, reporting to James Murdoch. His role includes CFO of News International which represents News Corporation’s UK newspaper business, as well as acting as CFO across News Corporation’s operations in Europe and Asia, supporting Sky Italia, STAR TV and News Corporation Europe, as these businesses continue to grow and develop. Mark Williams joined News Corporation in 1996 as CFO of the Australian pay-TV operation, FOXTEL, and in 2000 assumed CFO responsibility for News Corporation’s newspaper business and other interests throughout Australia and New Zealand. In January 2003, he was appointed Chief Operating Officer of Sky Italia, based in Milan, and has overseen the rapid and very successful development of that business over the last 5 years. Prior to News Corporation, Mark worked in CFO roles in the consumer goods industry, based in Australia, New Zealand and Singapore.
Mark is a non-executive director on the Board of Sky Italia.

Biography of Michael Börnicke
Michael Börnicke was born on October 28, 1960 in Mülheim Ruhr. After completing his business studies at the University of Bayreuth and Paris, Börnicke started his career at HypoVereinsbank in Munich: first as trainee with focus on credit and corporate customers, then as special adviser for media and project finance.
In January 1992, Börnicke moved to ProSieben Television GmbH as Head of Finance and Controlling. In 1995, Börnicke was appointed Finance Director and, together with Dr. Georg Kofler, turned ProSieben into the most profitable German TV company. In July 1997, Michael Börnicke and Dr. Kofler successfully took the company public. The issue volume of approximately DM 1.1 billion was oversubscribed by fifty times.
In January 1998, Börnicke joined the management of Premiere Medien GmbH & Co. KG as CFO. After Dr. Kofler was appointed CEO of Premiere in 2002, Börnicke additionally took on the responsibility for the divisions IT, Human Resources and Legal Affairs. In February 2003, Börnicke, together with the private equity company Permira and Dr. Kofler, completed an extensive transaction to acquire Premiere. Börnicke acquired a 0.6 percent stake in the company. In March 2005, in his position as CFO, Börnicke was responsible for the successful IPO of Premiere AG. The issue volume of EUR 1.2 billion was oversubscribed 14 times. On June 22, 2006, Michael Börnicke was appointed deputy CEO and took on further responsibilities. On September1, 2007, Michael Börnicke was appointed CEO of Premiere AG.
